Terms of Service
Last updated: 10 October 2026
These Terms of Service ("Terms") are an agreement between Khulna Technologies LLC, a limited liability company organized under the laws of Maryland, 4520 East-West Highway #780, Bethesda, MD 20814, United States ("KTL", "we", "us"), and the organization or individual that creates a SigningUS account ("Customer", "you").
By creating an account, clicking to accept, or using SigningUS, you agree to these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it, and "you" means that organization. If you do not agree, do not use the service.
A person who receives a document for signature ("Signer") agrees to sections 6, 16 and 20 of these Terms by completing the signing process, whether or not they hold an account.
Definitions
"Content" means documents, templates and files the Customer submits, and any file a Signer uploads at the Customer's request, including identification documents. "Document" means a document or set of documents sent for signature through the Service. "Service" means the SigningUS website, application and related services. "Signer" means an individual asked to sign or provide information within a Document, whether or not they hold an account.
The Service
SigningUS lets you send documents for electronic signature and, where you configure it, collect supporting files from Signers.
For each Document, the Service keeps an audit record of who signed, when, and from which IP address. Where you require it, a Signer must enter a one-time code sent to their email address before viewing the Document. Additional evidence features are introduced as they become available and are described on our pricing and feature pages.
Signatures applied through the Service are simple electronic signatures. The Service does not provide advanced or qualified electronic signatures under the EU eIDAS Regulation.
We may improve, change or discontinue features. If we discontinue a feature you materially rely on, we will give you at least 30 days notice.
Accounts and security
You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly at security@signingus.com if you suspect unauthorized access.
Content and ownership
You own your Content. You grant us a limited licence to host, store, transmit and process Content only to provide, secure and support the Service and as described in our Data Processing Agreement.
We do not use Content to train artificial intelligence models and do not send Content to any AI provider. We do not sell Content or use it for advertising.
Your responsibilities for Content and Signer data
You confirm that you have the right to send the Content you send through the Service, and a lawful basis to collect any information you request from a Signer. Before requesting a file from a Signer, you will tell them what you are collecting and why. If you request government-issued identification, you will request no more than the transaction requires and you are responsible, as controller, for its lawful collection, use and retention.
Acceptable use
You and any Signer must not use the Service to:
- impersonate any person, or sign on behalf of another person without authority;
- collect identification or other personal information under false pretenses;
- send fraudulent, unlawful, harassing or infringing documents;
- upload malware, or attempt to disrupt, overload or gain unauthorized access to the Service;
- reverse engineer the Service, except where the law prohibits that restriction; or
- circumvent plan limits or access the Service by automated means other than through an interface we provide.
Free plan and trials
We may offer a free plan and free trials. They are provided as is, without warranty or service commitment, and we may change or withdraw them. Plan limits in the product apply.
Fees and taxes
Fees are shown on our pricing page and are billed in advance on the cycle you select through our payment processor, Stripe. Enterprise plans may be agreed in a separate order form. Fees exclude taxes, which you are responsible for, other than taxes on our income.
Renewal, cancellation and refunds
Subscriptions renew automatically unless cancelled before the renewal date. You can cancel at any time, and your plan then continues to the end of the paid period. Refunds are set out in our Refund Policy, which forms part of these Terms.
Price changes
We will give at least 30 days notice of a price change. It applies from your next renewal.
Suspension
We may suspend access for non-payment after notice, for a breach of section 6, including suspected fraud or impersonation, or where the law requires. Where practicable we will give notice first and restore access once the cause is resolved.
Term and termination
Either party may terminate for the other's material breach not cured within 30 days of written notice. You may cancel at any time under section 9. We may terminate for convenience on 60 days written notice and will refund prepaid fees for the period after termination.
Your data after termination
After your subscription ends, you can continue to download your Documents for at least 30 days. You may ask us to delete your account and Content at any time by emailing privacy@signingus.com, and we will complete a verified request within 30 days, except where the law requires us to keep data. Copies in backups are removed as backups expire.
Our intellectual property
KTL owns the Service, its software and the SigningUS name and branding. Nothing in these Terms transfers them to you.
Feedback
You may send us feedback, and we may use it without obligation to you.
Third party services
The Service relies on the providers named on our subprocessors page. If you share a signing link through a messaging app, that app's own terms apply and we are not responsible for it.
Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only to perform these Terms. Content is your confidential information.
Warranty disclaimer
We will provide the Service with reasonable skill and care. Otherwise the Service is provided "as is" and "as available", and to the fullest extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error free.
Limitation of liability
Except for the exclusions below, each party's total liability arising out of or relating to these Terms will not exceed the fees you paid for the Service in the twelve months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. These limits do not apply to your payment obligations, either party's indemnity obligations, breach of confidentiality, your breach of section 5 or 6, or liability that cannot lawfully be limited.
Signature validity
SigningUS provides the tools and records described in section 2. Whether a particular signature is enforceable depends on the document, the parties and the applicable law, and KTL does not guarantee enforceability in any particular case. You are responsible for deciding whether a document is suitable for electronic signature. General information is on our E-Signature Legality page.
Indemnification
By us. We will defend you against a third party claim that the Service, used as permitted, infringes that party's intellectual property rights, and pay damages finally awarded or agreed in settlement.
By you. You will defend us against a third party claim arising from your Content, your collection of information from a Signer, or your breach of section 5 or 6, and pay damages finally awarded or agreed in settlement.
The indemnified party must give prompt notice, allow the other party to control the defence, and cooperate reasonably. No settlement may impose obligations on the indemnified party without its consent.
Changes to these Terms
For material changes we will give at least 30 days notice by email or in the Service. If you do not accept a change, you may cancel before it takes effect and we will refund prepaid fees for the unused period.
Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control. This does not excuse payment obligations.
Export control and sanctions
Each party will comply with applicable export control and sanctions laws, including those of the United States.
Assignment
Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets, on notice.

Notices to KTL go to legal@signingus.com or to Khulna Technologies LLC, 4520 East-West Highway #780, Bethesda, MD 20814, United States. Notices to you go to the email address on your account.
Governing law and venue
These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict of laws rules. The state and federal courts located in Montgomery County, Maryland have exclusive jurisdiction.
General
These Terms, the Data Processing Agreement, the Privacy Policy, the Refund Policy and any order form are the entire agreement between the parties about the Service. If a provision is unenforceable, it is modified to the minimum extent necessary and the rest continues. A failure to enforce a provision is not a waiver. There are no third party beneficiaries. The parties are independent contractors. Sections 4, 5, 13, 14, 17 to 21 and 27 survive termination.
